ARTICLE I: Scope of the By-Laws

Section 1.

These By-Laws shall govern the conduct of the organization in those matters not specifically treated in the Constitution.

Section 2.

Provisions of these By-Laws shall be subordinate to those of the Constitution.

ARTICLE II: Election of Officers

Section 1.

The officers of the organization shall be elected at the last business meeting of the Iranian calendar year.

Section 2.

Installation of officers shall take place at the annual Noruz Gala. The new officers will assume their duties upon installation.

Section 3.

In order to be eligible to hold office, the President and Vice- president must have been active members of the Board for at least one year.

Section 4.

The officers of this Society shall be elected by secret ballot. There shall be no voting of proxies allowed.

ARTICLE III: Meetings

Section 1.

This organization may arrange for and hold meetings as desired, but at least one business meeting and one general meeting of a social or educational character shall be held each calendar year.

Section 2.

Special meetings may be called by the President, the Executive Council, or by petition of the one-half the Active membership of the organization.

Section 3.

A quorum shall consist of2/3 of Active Members of the Society who are present at the time of conduct of business of the organization.

Section 4.

In the case, a quorum is not present at the general meeting, an emergency quorum consisting of the Executive Counsel and two additional Active Members may conduct financial business for the organization.

Section 5.

The order of conduct of a regular meeting shall be as follows:
a. call to order
b. Roll call
c. Reading of the minutes
d. Committee reports
e. Unfinished business
f. New business
g. Program session
h. Adjournment

Section 8.

Initiation of new members may be conducted at a regular meeting or a special meeting called for this purpose.

Section 9.

Notification of all Active Members shall be given by the Secretary at least one week prior to a special meeting. The notification shall state the purpose for which the meeting is called.

Section 10.

No business other than that for which the meeting was called shall be conducted at a special meeting.

ARTICLE IV: Attendance

Section 1.

Active members shall be required to attend the meetings of the organization.

Section 2.

Any member who fails to attend fifty percent of all meetings, or who misses three consecutive meetings, shall automatically revert to inactive status.

Section 3.

A member may request permission to be absent from a regularly scheduled meeting from the Executive Committee no less than one week before the meeting is scheduled. If permission is granted by the Executive Committee, the member shall not be considered absent from the meeting.

ARTICLE V: Special Duties

Section 1.

In addition to his/her regular duties, the Secretary shall make all arrangements for the regular and special meetings.

Section 2.

In addition to his/her regular duties, the Vice-President shall perform the normal duties of the Parliamentarian and Program Chairman.

Section 3.

The President of the Society shall be the official representative of the organization to the public.

Article VI: Membership

Section 1:

A member of good standing of this organization is defined by those who pay their membership due during the fiscal year (September 1st to August 31st).

Section 2:

Different categories of membership are determined by the vote of the majority of the board of directors, the same vote will determine fees and privileges of different categories of members. These fees and privileges are subject to change by the said board.

Section 3:

The following categories of membership are available:
a. Senior citizens (over 65 years of age)
b. College students (full-time)
c. Individual members
d. Family members (spouses and children under 18 are included)
e. Corporate members
f. Life members( will pay a one time fee)

Section 4:

The details of membership fees and privileges are available on organization's web site or by contacting any of the board members.

ARTICLE V: Adoption and Amendment

Section 1.

These By-Laws shall become effective immediately upon adoption.

Section 2.

These By-Laws shall remain in effect until revised or amended.

Section 3.

A provision of these By-Laws may be temporarily suspended by a 2/3 vote of the Active membership of the Society in accordance with the Article III, Section 3 of the By-Laws.

Section 4.

A proposed amendment to these By-Laws must have three readings, with a provision for discussion at each, prior to voting thereon.

Section 5.

Rules for amending the by-laws will be the same as those of the constitution
